Terms

Introduction

These terms and conditions apply between you, the User of this Website (including any sub-domains, unless expressly excluded by their own terms and conditions), and Sooper Books, the owner and operator of this Website. Please read these terms and conditions carefully, as they affect your legal rights. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these terms and conditions, you should stop using the Website immediately.

In these terms and conditions, User or Users means any third party that accesses the Website and is not either (i) employed by Sooper Books and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to Sooper Books and accessing the Website in connection with the provision of such services.

1. The service

1. a. Service Options

Sooper Books provides three Service options. The first Service is provided free of charge (the “Free Users and Registrations”), the second type of service requires payment before they can be accessed (the "Paid Subscriptions"). The third type of service is School Partnerships. 

1. b.   Access to the Service

Subject to your compliance with these Terms, you have permission to use Sooper Books for personal, non-commercial use. This Access shall remain in effect unless and until terminated by you or Sooper Books. As part of this agreement, you agree that you will not download, redistribute or transfer any of the content from Sooper Books. 

The Sooper Books software and the Content are licensed to you, Sooper Books does not sell or transfer to you. Sooper Books is the owner of all copies of the Sooper Books software and Content.

2. Free Users and Registrations

You must ensure that the details provided by you on registration or at any time are correct and complete. You must inform us immediately of any changes to the information that you provide when registering by updating your personal details to ensure we can communicate with you effectively.

3. Paid Subscriptions

The Paid Subscriptions may not be available to all users. If you cancel your Paid Subscription, or if your subscription is interrupted, you may not be able to re-subscribe for that specific Paid Subscription. 

3. a. Subscription Registrations 

You must ensure that the details provided by you on registration or at any time are correct and complete. You must inform us immediately of any changes to the information that you provide when registering by updating your personal, bank and communication information.

3. b. Paid Subscriptions 

We may suspend or cancel your subscription with immediate effect for any reasonable purposes or if you breach these terms and conditions.

3. c. Renewal and Cancellation 

Paid Subscriptions automatically renew at the end of the subscription period, unless you cancel your Paid Subscription before the end of your current subscription period. 

To cancel your subscription log into your account, navigate to settings and click cancel subscription. By cancelling you accept you will not be able to reactivate your subscription, including your original subscription price and you agree to the following cancellation and refund terms:

Annual subscription cancellation

You may cancel your subscription order within 30 days from the date of your purchase for a full refund by contacting Customer Support at support@sooperbooks.com. If you cancel 30 days after purchase you will not receive a full or partial refund for your order. By placing an order to purchase content, you acknowledge and agree to this.

Annual subscription renewal cancellation

Annual subscriptions are a rolling contract which renews automatically every year until you cancel the subscription. If you cancel after the first payment term, you will not receive a refund and your cancellation will come into effect at the end of the current payment term.

Monthly subscription cancellation

You may cancel your subscription order within 15 days from the date of your purchase for a full refund by contacting Customer Support at support@sooperbooks.com. If you cancel 15 days after purchase or renewal you will not receive a full or partial refund for your order. By placing an order to purchase content, you acknowledge and agree to this.

Monthly Subscription renewal cancellation 

Monthly subscriptions are a rolling contract which renews automatically every month until you cancel the subscription. If you cancel after the first payment term, you will not receive a refund and your cancellation will come into effect at the end of the current payment term.

3. d. Payments

Price changes

From time to time Sooper Books may change the price for any of the Paid Subscriptions, including recurring subscription fees. Sooper Books will inform paid subscribers in advance of any price changes to you. By continuing to use Sooper Books after a price change has taken effect, you will have accepted the new price. If you do not agree to the price change, you can cancel the Paid Subscription before the price change comes into effect.

3. e. Password and security

When you register on this Website, you will be asked to create a password, which you should keep confidential and not disclose or share with anyone.

If we have reason to believe that there is or is likely to be any misuse of the Website or breach of security, we may require you to change your password or suspend your account. Sooper Books may reclaim, or require you to change, your username for any reason.

You understand that you are responsible for all use (including any unauthorised use) of your username and password. Notify our Customer Service team immediately if your username or password is lost or stolen, or if you believe there has been unauthorised access to your account.

4. The Website 

4. a. Intellectual property and acceptable use

All Content included on the Website is the property of Sooper Books, our affiliates or other relevant third parties. In these terms and conditions, Content means any text, graphics, images, audio, video, software, data compilations, page layout, underlying code and software and any other form of information capable of being stored in a computer that appears on or forms part of this Website, including any such content uploaded by Users. By continuing to use the Website you acknowledge that such Content is protected by copyright, trademarks, database rights and other intellectual property rights. For the right to use any content, trademark or logo displayed on the site, written permission by Sooper Books is required.

You may, for your own personal, non-commercial use only retrieve, display and view the Content.

You must not otherwise reproduce, modify, copy, distribute or use for commercial purposes any Content without the written permission of Sooper Books. 

You may not use the Website for any of the following purposes:

- in any way which causes, or may cause, damage to the Website or interferes with any other person’s use or enjoyment of the Website;

- in any way which is harmful, unlawful, illegal, abusive, harassing, threatening or otherwise objectionable or in breach of any applicable law, regulation, or governmental order;

- making, transmitting or storing electronic copies of Content protected by copyright without the permission of the owner.

4. b. Service Limitations and Modifications

Any online facilities, tools, services or information that Sooper Books makes available through the Website (the Service) is provided “as is” and on an “as available” basis. We give no warranty that the Service will be free of defects and/or faults. To the maximum extent permitted by the law, we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality. Sooper Books is under no obligation to update information on the Website.

Whilst Sooper Books uses reasonable endeavours to ensure that the Website is secure and free of errors, viruses and other malware, we give no warranty or guarantee in that regard and all Users take responsibility for their own security, that of their personal details and their computers.

Sooper Books accepts no liability for any disruption or non-availability of the Website.

Sooper Books reserves the right to alter, suspend or discontinue any part (or the whole of) the Website including, but not limited to, any products and/or services available. These terms and conditions shall continue to apply to any modified version of the Website unless it is expressly stated otherwise.

We may need to change or withdraw all or part of your subscription features and all or part of our Services if they are uneconomical, technically impractical, not fulfilling their purpose for you or us, or as a result of changes in technology. 

Sooper Books has no obligation to provide any specific content and Sooper Books may remove particular stories, audiobooks, imagery, and other Content without notice.

We aim to keep the Sooper Books Service operational and to provide you with a functional reading and audio experience. However, our service offerings and their availability may change from time to time without liability to you; for example:

The Sooper Books Website may from time to time become temporarily unavailable due to technical difficulties, maintenance or testing, or legally required updates.

To improve our Services we may change, pause, or stop (temporarily or permanently) providing all or part of the Sooper Books Service.

If you have prepaid for a Paid Subscription that becomes discontinued and/or updated  before the end of your Pre-Paid Period, you can request a refund for the prorated discontinued time period. Sooper Books will not refund for a Paid Subscription before the discontinued and/or updated date if it is past the 15 days for a monthly subscription and 30 days for the annual subscription (see cancellation section 3.c) Your account and billing information must be up to date in order for us to refund you.

Nothing in these terms and conditions will: (a) limit or exclude our or your liability for death or personal injury resulting from our or your negligence, as applicable; (b) limit or exclude our or your liability for fraud or fraudulent misrepresentation; or (c) limit or exclude any of our or your liabilities in any way that is not permitted under applicable law.

To the extent that the Website and Content are provided free of charge, we will not be liable to you for any loss or damage of any kind.

We will not be liable to you in respect of any losses arising out of events beyond our reasonable control.

To the maximum extent permitted by law, Sooper Books  accepts no liability for any of the following:

a. any business losses, such as loss of profits, income, revenue, anticipated savings, business, contracts, goodwill or commercial opportunities;

b. loss or corruption of any data, database or software;

c. any special, indirect or consequential loss or damage.

5. Changes to this Agreement, the Charges or our Services

5. a. General changes

We may change this Agreement at any time including for Network security reasons, legal or regulatory reasons, or if we wish to have all of our customers on the same terms and conditions for Services. We may also change our subscription Charges or introduce new Charges at any time.

5. b. Details of any changes

Any changes we make will be emailed to you. 

5. c. Significant changes

We will notify you in advance of any change coming into effect if we make any changes to your Agreement, or the Services you are using, or to the Charges for any Services you are using, which (in our reasonable opinion) are likely to be of material detriment to you.

5. d. Non acceptance of changes

If you do not accept a change that falls within clause 5.3 you may cancel this Agreement by notifying us within 30 days. However you may not cancel this Agreement if such change:

(1) has been imposed on us by any regulator with appropriate authority,

(2) relates solely to an Additional Service, unless we specifically notify you of a right to cancel. If this is the case then you may cancel such Additional Service by giving us a least ten days’ notice in writing to that effect within one month of the notice. 

5.e. Acceptance of changes

Any continued use of our Services after the date of the change will be deemed to be acceptance by you of the relevant change unless you give us notice of cancellation in accordance with clause 5.4.

5.f. Communicating with you

If we do need to notify you of a change in accordance with clause 5.3, or otherwise need to communicate with you in respect of our Services or this Agreement, then we will do this by sending you an email. 

6. Links to other websites

6. a. This Website may contain links to other sites. Unless expressly stated, these sites are not under the control of Sooper Books or that of our affiliates. 

6. b. We assume no responsibility for the content of such Websites and disclaim liability for any and all forms of loss or damage arising out of the use of them.

6. c.The inclusion of a link to another site on this Website does not imply any endorsement of the sites themselves or of those in control of them.

7. Privacy Policy and Cookies Policy

8. General

8. a. You may not transfer any of your rights under these terms and conditions to any other person. We may transfer our rights under these terms and conditions where we reasonably believe your rights will not be affected.

8. b. These terms and conditions may be varied by us from time to time. Such revised terms will apply to the Website from the date of publication. Users should check the terms and conditions regularly to ensure familiarity with the then current version.

8. c. These terms and conditions together with the Privacy Policy contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.

8. d. The Contracts (Rights of Third Parties) Act 1999 shall not apply to these terms and conditions and no third party will have any right to enforce or rely on any provision of these terms and conditions.
